JB Capital has reached an agreement with Dr. Gabriel Serrano to acquire a 50% stake in SESDERMA Group (which includes the brands Sesderma, Mediderma and Dermopartners). The agreement also includes a \u20ac40 million capital injection into the company. <\/p>\n
In addition, the Group has refinanced all of its financial debt through a flexible long-term capital solution provided by the pan-European investment manager Kartesia, which has also acquired a minority equity stake in the company.<\/p>\n
The agreement also includes a commitment by the parties to finance investments aimed at supporting the company’s growth and expansion plan, including attracting top industry talent, expanding the product portfolio, strengthening the brand and continuously enhancing service within the pharmacy channel.<\/p>\n
As a result, the Group successfully completes its financial restructuring process, establishing an optimal capital structure to support an ambitious long-term industrial plan.<\/p>\n
New Management Structure<\/strong><\/p>\n As part of this new phase, the renowned dermatologist Dr. Gabriel Serrano Sanmiguel will continue to lead the Group’s Scientific, Medical and R&D Division, the very core that has driven the company’s success since its foundation. JB Capital, meanwhile, will assume responsibility for the Group’s operational management and will work to further professionalise the organisation through the incorporation of a new top-tier executive management team in the near term. <\/p>\n At the same time, a new Board of Directors will be established to implement the highest standards and best practices in corporate governance, strengthening key areas such as internal audit, regulatory compliance and corporate compliance.<\/p>\n Key Elements of the Business Plan<\/strong><\/p>\n This agreement comes at a time of strong growth in the global dermocosmetics market (expected to grow at a CAGR of more than 6% through 2030, according to market data), driven by consumers increasingly seeking effective, science-backed, high value-added solutions.
